FORMER EMPLOYEE RESPONSIBILITIES AND RESTRICTIONS
Upon separation, employees are required to return all organizational property, including, without limitation, documents, digital files, devices, passwords and other login credentials, or other materials containing proprietary or confidential information (TMCF property). Whether certain TMCF property constitutes property that is “confidential” or “proprietary” should be understood by the employee based on that employee’s knowledge and experience with using such TMCF property and such TMCF property need not be specifically labeled “confidential” or “proprietary” to have such a designation. The applicability of this provision is to be interpreted broadly. No copies of TMCF property may be retained, distributed or used after an employee’s departure from the organization. Former employees are absolutely prohibited from disclosing or using any confidential information, trade secrets or intellectual property obtained during employment unless given express written permission by the president and CEO of TMCF. The organization reserves the right to pursue legal action to enforce this provision or any breaches of the same including, without limitation, seeking injunctive relief and monetary damages.
